End User License Agreement
PAXcel™ — ForQuest Solutions LLC

IMPORTANT — PLEASE READ CAREFULLY: This End User License Agreement (“Agreement”) is a legal agreement between you (an individual or legal entity, “you” or “Licensee”) and ForQuest Solutions LLC (“ForQuest”) for the use of PAXcel™ software. By installing, accessing, downloading, or using PAXcel, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use PAXcel. If you acquired PAXcel through the Microsoft Commercial Marketplace, these terms supplement and govern the software license; they do not replace Microsoft’s Marketplace transaction terms.
1. Grant of License
Subject to your compliance with this Agreement and payment of applicable fees, ForQuest Solutions grants you a limited, non-exclusive, non-transferable, non-sublicensable license to:
- Install and use PAXcel™ on devices owned or controlled by you or your organization, solely in connection with a valid Microsoft Excel installation and a licensed IBM Planning Analytics (TM1) environment
- Use PAXcel solely for your internal business purposes — connecting Microsoft Excel to IBM Planning Analytics for planning, reporting, and analysis
- Make a reasonable number of backup copies for archival purposes only
This license does not include any right to sublicense, distribute, resell, or make PAXcel available to third parties without a separate written agreement with ForQuest Solutions.
2. License Restrictions
You may not, and may not permit others to:
- Copy, modify, adapt, translate, or create derivative works of PAXcel
- Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of PAXcel, except as expressly permitted by applicable law
- Remove, obscure, or alter any proprietary notices, labels, or marks on PAXcel
- Rent, lease, lend, sell, sublicense, assign, or otherwise transfer your rights under this Agreement to any third party
- Use PAXcel to develop a competing product or service
- Use PAXcel to process data on behalf of third parties as a service bureau without a separate written agreement with ForQuest Solutions
- Use PAXcel in any manner that violates applicable laws or regulations, including data protection and privacy laws
3. Microsoft 365 Integration & Marketplace
PAXcel operates as a Microsoft Excel add-in and may be acquired through the Microsoft Commercial Marketplace (AppSource). The following applies:
- Microsoft Platform: Your use of Microsoft Excel and Microsoft 365 is governed by separate agreements with Microsoft Corporation. ForQuest Solutions is not responsible for Microsoft’s products or services
- Marketplace Acquisition: If you acquired PAXcel through AppSource or Azure Marketplace, Microsoft’s Commercial Marketplace Terms also apply to your acquisition. This Agreement governs the software license itself
- Microsoft Permissions: PAXcel requests only the minimum Microsoft 365 permissions necessary for operation, as disclosed in the AppSource listing. You may revoke these permissions at any time through your Microsoft 365 admin center
- Microsoft Support: ForQuest Solutions, not Microsoft, is solely responsible for PAXcel support, maintenance, and any claims related to the software
4. IBM Planning Analytics Requirements
PAXcel requires a separately licensed IBM Planning Analytics (TM1) environment to function:
- You are responsible for obtaining and maintaining a valid IBM Planning Analytics license from IBM or an authorized IBM Business Partner
- ForQuest Solutions is not a party to your IBM license agreement and is not responsible for IBM products, services, or support
- ForQuest Solutions recommends confirming version compatibility between PAXcel and your IBM Planning Analytics version prior to deployment
- ForQuest Solutions is an IBM Business Partner. Use of PAXcel does not entitle you to IBM Planning Analytics licenses, IBM support, or any IBM products or services
5. Intellectual Property
PAXcel, including all software code, user interface, documentation, branding, and related materials, is the exclusive intellectual property of ForQuest Solutions LLC and is protected by United States and international copyright, trademark, and other intellectual property laws.
You acknowledge that no title to the intellectual property in PAXcel is transferred to you. You acquire no rights in PAXcel other than the limited license expressly granted in this Agreement.
“PAXcel™” is a trademark of ForQuest Solutions LLC. You may not use this trademark without prior written authorization from ForQuest Solutions.
6. Updates, Maintenance & Support
ForQuest Solutions may, at its discretion, provide updates, patches, or new versions of PAXcel. Unless accompanied by a separate agreement, updates are subject to this Agreement.

ForQuest Solutions reserves the right to discontinue support for older versions of PAXcel with reasonable advance notice.
7. Privacy & Data Handling
Your use of PAXcel is subject to the ForQuest Solutions Privacy Policy, which is incorporated into this Agreement by reference.
- PAXcel connects directly from your device to your IBM Planning Analytics server. Your planning data does not pass through ForQuest Solutions infrastructure
- ForQuest Solutions does not sell, license, or share your IBM Planning Analytics data with any third party
- Anonymized usage telemetry may be collected to improve PAXcel. This data does not include planning data, financial data, or personally identifiable information beyond product licensing requirements
- You are responsible for ensuring your use of PAXcel complies with applicable data protection laws governing your IBM Planning Analytics data
8. Disclaimer of Warranties
PAXCEL IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FORQUEST SOLUTIONS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES THAT PAXCEL WILL MEET YOUR REQUIREMENTS OR OPERATE WITHOUT INTERRUPTION OR ERROR
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY DATA PROCESSED BY PAXCEL
Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not fully apply to you.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FORQUEST SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA LOSS, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE PAXCEL.
IN NO EVENT SHALL FORQUEST SOLUTIONS’ TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID FOR PAXCEL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100.00).
10. Term & Termination
This Agreement is effective from the date you first install or use PAXcel and continues until terminated.
- Termination by You: You may terminate this Agreement at any time by uninstalling PAXcel and destroying all copies in your possession
- Termination by ForQuest: ForQuest Solutions may terminate this Agreement immediately upon written notice if you materially breach any provision and fail to cure within thirty (30) days of notice
- Effect of Termination: Upon termination, all license rights cease immediately. Sections 5, 7, 8, 9, 11, and 12 survive termination
11. Governing Law & Dispute Resolution
This Agreement is governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.
Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration under the American Arbitration Association’s Commercial Arbitration Rules, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights.
Arbitration or legal proceedings will be conducted on an individual basis and not as a class action.
12. General Provisions
- Entire Agreement: This Agreement, together with the ForQuest Solutions Privacy Policy, constitutes the entire agreement between you and ForQuest with respect to PAXcel
- Severability: If any provision is held invalid or unenforceable, the remaining provisions continue in full force
- No Waiver: Failure to enforce any provision does not constitute a waiver of that provision
- Export Compliance: You agree to comply with all applicable export and re-export laws and regulations
- U.S. Government End Users: PAXcel is “commercial computer software” as defined in FAR 2.101. Government use is subject to the terms of this Agreement
- Amendments: ForQuest Solutions may update this Agreement. Continued use of PAXcel after notice of an updated Agreement constitutes acceptance of the new terms
